Partner Terms & Conditions
Effective Date: 1 October 2023
These Terms and Conditions (“Terms”) form a binding agreement (“Agreement”) between Junior Grassroots Hub Ltd (“JGH”, “we”, “our”, “us”) and the Partner (“you”, “your”).
By confirming your partnership or making payment, you agree to comply with and be bound by these Terms.
1. Partnership Scope
1.1. As a Partner, you are entitled to the promotional services as outlined in your agreed package (e.g., website listings, social media promotion, email campaigns, and other related services).
1.2. All promotions must be relevant to grassroots football and suitable for our community of clubs, coaches, parents, and players.
1.3. JGH reserves the right to amend, update, or withdraw specific promotional opportunities at its discretion, provided that the overall value of the partnership remains materially unchanged.
2. Payment Terms
2.1. All partnership fees must be paid upfront before promotional services commence.
2.2. Payment is non-refundable once services have begun.
2.3. Failure to settle invoices within 14 days may result in removal of partner assets (e.g., listings, posts, or landing pages) without prior notice.
2.4. All prices are exclusive of VAT unless otherwise stated.
2.5. JGH reserves the right to suspend or delay promotional activity until full payment has been received.
3. Subscription, Renewal & Cancellation
3.1. Unless otherwise agreed in writing, all partnership packages operate on a subscription basis and will automatically renew at the end of each term (typically 12 months).
3.2. It is the Partner’s responsibility to provide written notice (via email to [email protected]) at least 7 days prior to the renewal date if they wish to cancel their partnership.
3.3. Once a subscription has rolled over or renewed, no refunds will be issued for that renewal period.
3.4. Renewal fees will be invoiced at the prevailing rates at the time of renewal, unless a different rate has been agreed in writing.
4. Content & Posting Guidelines
4.1. Partners may post in the Junior Grassroots Hub Facebook Group a maximum of two times per week, unless otherwise agreed.
4.2. All posts must be relevant, non-promotional in nature (unless approved), and must not contain misleading claims, offensive language, or spam-like behaviour.
4.3. Partners must not post political, religious, or inappropriate content.
4.4. JGH reserves the right to remove or refuse any content that does not align with our values, audience expectations, or community standards, without prior notice.
4.5. The Partner is solely responsible for ensuring that all promotions, offers, or claims made in their content are accurate and legally compliant.
5. Intellectual Property
5.1. Any materials provided by the Partner (logos, images, videos, text, or other creative assets) must be owned or properly licensed by the Partner.
5.2. By submitting materials, the Partner grants JGH a non-exclusive, royalty-free licence to use, publish, and distribute such content for promotional purposes during the term of the agreement.
5.3. Upon termination of the partnership, JGH will cease using Partner materials, but any previously published content may remain online in archives or historical posts.
6. Performance & Results
6.1. While JGH aims to maximise visibility and engagement for all partners, we do not guarantee specific results (e.g., clicks, leads, or sales).
6.2. Performance data (such as open or click-through rates) may be shared upon request for certain campaign elements, such as email campaigns.
7. Conduct & Compliance
7.1. Partners must conduct themselves professionally in all communications with the JGH team and its audience.
7.2. Breach of conduct, inappropriate behaviour, or failure to comply with these Terms may result in immediate suspension or termination of the partnership without refund.
8. Term & Termination
8.1. The standard partnership term is 12 months, unless otherwise stated in writing.
8.2. Either party may terminate the agreement in writing; however, no refunds will be issued once services have commenced.
8.3. Inactive or non-responding partners may have assets removed if invoices remain unpaid or communication is not maintained.
9. Future Reinstatement
9.1. Past partners are welcome to reapply or renew at any time, subject to current rates and Terms.
9.2. Reinstatement may require new onboarding and full payment in advance.
10. Liability & Indemnity
10.1. JGH shall not be liable for any indirect, incidental, or consequential loss arising from partnership activities.
10.2. The Partner agrees to indemnify and hold JGH harmless against any claims, damages, or expenses resulting from the Partner’s content, materials, or promotions.
11. Data Protection
11.1. JGH will process any Partner data in accordance with UK GDPR and our Privacy Policy.
11.2. We will not share Partner data with third parties outside the scope of this agreement without prior consent.
12. Governing Law
12.1. These Terms shall be governed by and construed in accordance with the laws of England and Wales.
12.2. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
